1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you") and Klause AI ("we", "us", "our") governing your use of klauseai.com and all associated services (the "Service").

By accessing or using the Service — clicking "Analyze", creating an account, or subscribing — you confirm you have read, understood, and agree to these Terms and our Privacy Policy. If using the Service on behalf of a business, you represent you have authority to bind that business. If you do not agree, do not use the Service.

2. Service Description

Klause AI provides an AI-powered platform that analyzes legal documents — contracts, NDAs, employment agreements, privacy policies, and related instruments — to identify potential risks, unusual clauses, and statutory issues. The Service includes 26 specialized legal skill tools across 7 practice areas and 9 jurisdictions. We reserve the right to modify or discontinue any part of the Service with reasonable notice.

3. Not Legal Advice — Critical Disclaimer

Klause AI is not a law firm and does not provide legal advice. All analysis, findings, risk assessments, and other outputs are for informational and educational purposes only. They do not constitute legal advice, legal opinions, or legal representation. Using Klause AI does not create any attorney-client, solicitor-client, or other professional legal relationship.

You must not rely on Klause AI as a substitute for advice from a qualified solicitor, barrister, or attorney licensed in the relevant jurisdiction. Before signing any legally binding agreement or taking legal action, always consult a qualified lawyer.

4. Eligibility and Account Registration

You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to create an account. By using the Service, you confirm you meet this requirement.

When registering, you agree to: provide accurate information; maintain password security; not share account access; notify us of any unauthorized access; and accept responsibility for all activity under your account. We may refuse registration, suspend, or terminate accounts at our discretion for violation of these Terms.

Paid subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize recurring charges until you cancel. Prices are USD, exclusive of applicable taxes (VAT, GST, sales tax) added at checkout where required.

Price changes: At least 30 days' notice before any price increase. Continued use after the notice period constitutes acceptance.

Failed payments: Retried up to 3 times over 7 days. If payment is not received, the account reverts to the Free tier.

6. Refunds and Cancellation

Cancellation

Cancel anytime from your account dashboard → Billing → Cancel Subscription, or by emailing billing@klauseai.com. Access continues until the end of the paid period. No partial-period refunds except where required by law below.

Refund rights by jurisdiction

  • EU / EEA: 14-day statutory withdrawal right from purchase date. If you have used the Service within 14 days, you waive this right by consenting to immediate performance at checkout. If unused, request a full refund within 14 days.
  • United Kingdom: Same 14-day withdrawal right under Consumer Contracts Regulations 2013. Same waiver condition if the Service has been used.
  • Australia: Statutory guarantees under the Australian Consumer Law. Contact us if the Service substantially fails to meet its description.
  • All other jurisdictions: No refunds for partial billing periods. Discretionary refunds considered for verified technical failures or billing errors. Contact us within 14 days of the charge.

Refund requests: email billing@klauseai.com with your account email, charge date, and reason. We respond within 5 business days. Approved refunds processed via Stripe within 5–10 business days.

7. Acceptable Use Policy

Permitted

  • Analyzing contracts, NDAs, and documents you are a party to or have authorization to review
  • Supporting your own legal decision-making as an individual or business
  • Assisting legal professionals in initial document triage (not as a substitute for professional review)
  • Educational and research purposes

Prohibited

  • Analyzing documents without authorization from the parties involved
  • Bulk analysis for resale or redistribution as a competing service without our written consent
  • Reverse-engineering our AI system prompts, models, or methodology
  • Submitting third-party personal data without proper consent, in violation of applicable data protection law
  • Use for any unlawful purpose or in violation of any applicable law or regulation
  • Circumventing usage limits, rate limiting, or paywalls by technical or other means
  • Introducing malware, viruses, or harmful code; overloading or damaging our infrastructure
  • Sharing or reselling account credentials
  • Providing professional legal advice to third parties using Klause AI output without required professional licenses

Violations may result in immediate account termination without refund and, where appropriate, referral to law enforcement.

8. Intellectual Property

All aspects of the Service — software, AI methodology, design, trademarks, logos, content, and brand assets — are owned by or licensed to Klause AI. You may not copy, modify, distribute, or create derivative works without our express written consent.

Documents you submit remain your property. You grant Klause AI a limited, temporary license to process your document solely to provide the analysis. As stated in our Privacy Policy, document text is not stored after processing.

Analysis output is provided for your personal or business use. You may share it subject to the restrictions in Sections 3 and 7. You may not sell analysis output as a standalone product. Feedback you provide grants Klause AI a perpetual, irrevocable, royalty-free license to use it for any purpose.

9. AI and Accuracy Disclaimer

You acknowledge and accept that AI analysis:

  • May contain errors, hallucinations, omissions, or misinterpretations
  • Has a knowledge cutoff date and may not reflect recent legislative changes or case law
  • Depends on the quality, completeness, and clarity of the submitted document
  • Cannot account for specific facts, context, or circumstances not present in the document text
  • Varies by language — non-English documents may receive less accurate analysis
  • May change in format or quality as the underlying AI model changes

Klause AI makes no warranty, express or implied, as to the accuracy, completeness, fitness for purpose, or reliability of any analysis. The Service is provided "as is" and "as available".

10. Limitation of Liability

To the maximum extent permitted by applicable law, Klause AI and its officers, directors, employees, contractors, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, revenue, data, or business; losses arising from reliance on AI analysis; losses from signing a contract based on Klause AI output; losses from service unavailability; or acts of third-party services.

Our total aggregate liability for all claims shall not exceed the greater of: (a) the total amount you paid to Klause AI in the 12 months before the claim; or (b) $100 USD.

Mandatory consumer rights (not excluded)

  • Australia: Nothing excludes rights under the Australian Consumer Law that cannot be excluded by agreement.
  • New Zealand: Nothing limits rights under the Consumer Guarantees Act 1993.
  • EU / EEA: Mandatory EU consumer protection rights are not affected.
  • UK: Nothing excludes liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any liability that cannot be excluded under English law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Klause AI and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: your use of the Service in violation of these Terms; violation of any applicable law; infringement of any third-party intellectual property rights; documents you submit that infringe third-party rights or contain unlawfully obtained data; or relying on Klause AI output as professional legal advice.

12. Termination

By you: Delete your account from dashboard settings or email hello@klauseai.com. This is separate from subscription cancellation (Section 6).

By us: We may suspend or terminate your access immediately without notice if we reasonably believe you have violated these Terms, engaged in fraud or abuse, failed to pay after notice, or provided false information. We may terminate the entire Service with 30 days' written notice.

Effect: Upon termination, your right to use the Service ceases immediately. Sections 3, 8, 9, 10, 11, and 13–15 survive termination.

13. Dispute Resolution

Informal first: Contact us at legal@klauseai.com before initiating formal proceedings. We respond within 15 business days and most disputes resolve without formal action.

Formal disputes by jurisdiction:

  • UK and international (default): Exclusive jurisdiction of courts of England and Wales.
  • EU consumers: May use the EU ODR platform at ec.europa.eu/consumers/odr. ODR contact: legal@klauseai.com.
  • California consumers: May contact the California Department of Consumer Affairs.
  • Australia: Disputes may be referred to the relevant state consumer protection agency or ACCC.

Class action waiver (US): To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration. This waiver does not apply where prohibited by applicable law.

14. Governing Law

These Terms are governed by the laws of England and Wales without regard to conflict of law provisions. This does not deprive you of mandatory consumer protection rights in your country of residence that cannot be derogated from by contract, including EU consumer protection laws, Australian Consumer Law guarantees, UK Consumer Rights Act 2015 protections, and California consumer protection statutes.

15. Jurisdiction-Specific Terms

🇪🇺 EU consumers: Benefit from mandatory rights under the Digital Content Directive (2019/770/EU). Digital services must conform to their description. If Klause AI materially fails as described, EU consumers have rights to repair, replacement, or refund.

🇬🇧 UK consumers: Rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013 are not affected by these Terms.

🇦🇪 UAE users: Use of the Service is subject to UAE Federal Law No. 2 of 2019 and UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021). You represent your use complies with UAE law.

16. Changes to These Terms

For material changes, we will notify registered users by email at least 14 days before the change takes effect and post a notice on klauseai.com for 30 days. Continued use after the effective date constitutes acceptance. If you do not accept, stop using the Service and cancel any subscription.
